Flender Announces Agreement to Acquire Wärtsilä Brasil Ltda’s Gears Service Business

 

  • Following closing, Flender will strengthen its footprint in South America with new service offerings in wind energy, alongside industrial sectors opportunities

German drive manufacturer Flender has reached an agreement with the Finnish technology group Wärtsilä to acquire the service business for wind and industrial gearboxes from Wärtsilä Brasil Ltda. Flender has incorporated Flender Brasil Ltda. as a subsidiary intended to receive the assets upon closing, subject to CADE’s approval.

The transaction remains subject to final, unconditional approval by the Brazilian antitrust authority (CADE) and other customary conditions. Until closing, Flender and Wärtsilä operate as separate, independent companies, with no changes to customers, suppliers, pricing, or personnel.

Upon closing, the acquisition would include the transfer of the gears service business with its service facility located in Cabo de Santo Agostinho, 35 km south of Recife, Brazil. Opened in 2022, the facility intended to be acquired includes a 5,000 m² workshop fully equipped with multiple overhead cranes and wind gearbox testing capabilities, making it the first facility in Latin Americas with such capacity. Laying a strong foundation for Flender’s service operations with a primary focus on the substantial wind energy installed base in the region, while positioning for future growth. Wärtsilä will continue to have a presence in the facility to support its Marine and Energy businesses.

For many years, Wärtsilä has been serving as a reliable local service provider for Flender products in Brazil and consistently delivering excellent service to customers. This acquisition solidifies Flender’s commitment to supporting the expanding Brazilian market in wind gearboxes, wind generators and industrial drivetrain applications, extending Flender’s global service network.

The official signing was concluded on August 18, 2025, with regulatory approval anticipated by the end of calendar year 2025 or early 2026, after which the closing will occur.
